Terms of Service

BadgeRelay helps users collect, organise, and display directory badges, partner logos, press mentions, and similar content on websites through a centrally managed embed.

We may improve, modify, suspend, or discontinue parts of the Service. We will try to provide reasonable notice if a change materially reduces the core functionality of a paid plan, unless immediate action is needed for security, legal, or operational reasons.

You must be at least 13 years old and legally capable of entering into these Terms. If the law where you live requires a higher minimum age, that higher age applies.

You agree to:

• provide accurate and current account information;
• keep your login credentials secure;
• remain responsible for activity performed through your account; and
• promptly notify us if you suspect unauthorised access.

You may not share an account in a way that bypasses plan limits or access controls.

You retain ownership of the websites, badge code, links, images, text, and other content you submit to the Service (“Your Content”).

You grant BadgeRelay a worldwide, non-exclusive, royalty-free licence to host, process, reproduce, adapt, transmit, and display Your Content only as necessary to operate, secure, and improve the Service and to publish it according to your settings. This licence ends when Your Content is deleted, except for temporary backups, caches, legal retention, and content already made public outside our control.

You represent and warrant that:

• you own Your Content or have all rights and permissions needed to use it;
• installing the embed and publishing Your Content does not violate any agreement or applicable law;
• you are authorised to manage every website or domain connected to your account; and
• Your Content does not infringe intellectual-property, privacy, publicity, or other rights.

BadgeRelay does not grant you any right to use a directory’s name, badge, logo, or trademark. You are responsible for following each directory’s badge rules and branding requirements.

You must not use the Service to:

• violate any law or another person’s rights;
• display deceptive, fraudulent, defamatory, obscene, hateful, or malicious content;
• impersonate another person or falsely claim endorsement, verification, partnership, or directory approval;
• publish badges or logos that you are not entitled to use;
• distribute malware, harmful code, phishing content, or unsolicited messages;
• interfere with, overload, probe, scan, or disrupt the Service or its infrastructure;
• bypass security measures, rate limits, plan limits, or access controls;
• scrape, copy, reverse engineer, or attempt to extract non-public source code, except where such restriction is prohibited by law;
• use automated means that place an unreasonable load on the Service; or
• resell, sublicense, or provide the Service to third parties unless your plan or a written agreement permits it.

We may investigate suspected violations and remove content, restrict embeds, suspend accounts, or terminate access where reasonably necessary.

You choose where to install the BadgeRelay embed and remain responsible for your websites, visitors, legal notices, cookie practices, accessibility, and compliance obligations.

You acknowledge that:

• changes made in BadgeRelay may automatically appear on connected websites;
• removing or disabling the embed may stop badges from displaying;
• caching, browser settings, content blockers, network failures, or third-party systems may delay or prevent display;
• third-party directories may change or remove their badges, URLs, requirements, or services; and
• BadgeRelay does not guarantee that displaying a badge will satisfy a directory’s verification or backlink requirements.

You should test the embed before using it on a production website and maintain appropriate backups or fallback content where necessary.

BadgeRelay may offer free and paid plans with different limits and features. Current plan details and prices will be shown on the pricing page and in the Service.

If you purchase a paid plan:

• you authorise us and our payment provider to charge the applicable fees and taxes;
• subscriptions renew automatically for the stated billing period unless cancelled before renewal;
• you are responsible for keeping billing information current; and
• plan changes may take effect immediately or at the next billing period, as shown during checkout.

Except where required by law or expressly stated otherwise, fees already paid are non-refundable. Cancelling stops future renewals but does not normally produce a prorated refund for the current billing period.

We may change pricing or plan features. Changes to recurring fees will apply no earlier than your next renewal after reasonable notice.

Free plans may require a visible “Powered by BadgeRelay” label or link. You must not remove, obscure, modify, or disable required attribution unless your plan expressly permits it.

The Service, including its software, design, branding, documentation, and other content provided by BadgeRelay, is owned by us or our licensors and is protected by intellectual-property laws.

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable right to use the Service for its intended purpose during the term of your account.

If you send feedback or suggestions, you allow us to use them without restriction or compensation. This does not give us ownership of Your Content.

The Service may rely on or link to third-party services, including hosting, authentication, analytics, payment, and directory platforms. We do not control and are not responsible for third-party services, content, policies, availability, or actions. Your use of those services may be subject to separate terms.

We aim to provide a reliable Service, but we do not promise uninterrupted, error-free, or permanently available access. Maintenance, security incidents, third-party failures, and events beyond our reasonable control may affect availability.

Features labelled beta, preview, experimental, or similar may be changed or removed at any time and may be less reliable than generally available features.

You may stop using the Service at any time. You may cancel a paid subscription through your account settings or the cancellation method provided by us.

We may suspend or terminate access if:

• you materially or repeatedly violate these Terms;
• your use creates security, legal, reputational, or operational risk;
• required fees remain unpaid;
• we are required to do so by law; or
• we discontinue the Service.

Where reasonable, we will give notice and an opportunity to remedy the issue. We may act immediately when necessary to prevent harm.

After termination, your right to use the Service ends. Provisions that by their nature should survive termination—including ownership, payment obligations, disclaimers, liability limitations, indemnity, and dispute terms—will continue to apply.

To the maximum extent permitted by law, the Service is provided “as is” and “as available”. We disclaim all warranties, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, and uninterrupted or error-free operation.

BadgeRelay does not guarantee increased traffic, search ranking, directory approval, backlink recognition, verification, revenue, or any other business result.

Nothing in these Terms excludes warranties or rights that cannot lawfully be excluded.

To the maximum extent permitted by law, BadgeRelay and YUURRIFIC will not be liable for indirect, incidental, special, exemplary, consequential, or punitive damages, or for loss of profits, revenue, business, goodwill, data, or use, arising from or related to the Service.

To the maximum extent permitted by law, our total liability arising from or related to the Service will not exceed the greater of:

• the amount you paid to BadgeRelay during the 12 months before the event giving rise to the claim; or
• S$100.

These limitations apply regardless of the legal theory of liability and even if we were advised that the loss was possible. They do not apply where liability cannot be limited under applicable law.

To the extent permitted by law, you agree to indemnify and hold harmless BadgeRelay and YUURRIFIC from claims, damages, losses, liabilities, and reasonable costs arising from:

• Your Content;
• your websites or use of the embed;
• your violation of these Terms or applicable law; or
• your infringement of another person’s rights.

This section does not require you to indemnify us for losses caused solely by our own fraud, wilful misconduct, or liability that cannot lawfully be excluded.

These Terms are governed by the laws of Singapore, without regard to conflict-of-law principles.

Before starting formal proceedings, you and BadgeRelay agree to make a good-faith effort to resolve the dispute by contacting the other party and allowing at least 30 days for a response.

Subject to any rights that cannot be waived, the courts of Singapore will have exclusive jurisdiction over disputes arising from or related to these Terms or the Service.

We may update these Terms from time to time. We will post the revised Terms with a new effective date and provide additional notice for material changes where appropriate.

If you continue using the Service after updated Terms take effect, you agree to the updated Terms. If you do not agree, you must stop using the Service.

These Terms, together with the Privacy Policy and any plan-specific terms presented to you, form the entire agreement between you and BadgeRelay regarding the Service.

If any provision is found unenforceable, the remaining provisions will remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our written consent. We may assign them as part of a merger, acquisition, reorganisation, or transfer of the Service.
